# Tessallite Enterprise License Agreement

These terms apply to Tessallite Enterprise Edition when paired with a written
order, quote, statement of work, subscription schedule, or other written
agreement signed by Tessallite.

## 1. Definitions

**Licensor** means Tessallite Ltd, a company registered in England and Wales
(company number 17243379), registered office 8 Lambert Road, Barking, England,
United Kingdom, IG11 0QW. Where these terms use "Tessallite" as the licensor or
an acting party (for example "Tessallite grants" or "Tessallite may terminate"),
that means the Licensor.

**Tessallite** means the Tessallite software, documentation, release bundle,
container images, configuration templates, demo content, and related materials
made available by or on behalf of the Licensor.

**Enterprise Edition** means the commercial edition activated by a signed
Enterprise license and/or written order.

**Community Source** means source code intentionally published under the
source-available root `LICENSE` in the Tessallite Community repository.

**Proprietary Components** means Tessallite runtime, licensing, release, support,
deployment, or product modules that are not published as Community Source or
that the Order identifies as proprietary, including the license manager, gateway
guard, license issuer, model-service policy modules, private release/signing
automation, optional optimizer/acceleration modules, and Enterprise deployment
materials.

**Customer** means the legal entity or individual identified in an order.

**Order** means a signed order form, quote, statement of work, subscription
schedule, or other written agreement that identifies the Customer and the
licensed Enterprise entitlements.

## 2. Grant

Subject to payment of applicable fees and compliance with these terms and the
Order, Tessallite grants Customer a non-exclusive, non-transferable license to
install and run Enterprise Edition for Customer's internal business purposes.

The Order controls:

- licensed entities and affiliates;
- production and non-production environments;
- user, tenant, project, and model entitlements;
- support level;
- subscription term or perpetual rights, if any;
- deployment form, such as Compose bundle, Helm chart, offline bundle, VM image,
  appliance image, private registry pull, or managed evaluation appliance.

Unless the Order states otherwise, Enterprise Edition is licensed for Customer's
internal business use only.

## 3. Community Source

Community Source remains governed by the root source-available `LICENSE`.
Hosted service, resale, OEM, or redistribution rights for Community Source
require a separate written agreement with Tessallite.

Proprietary Components, Enterprise bundles, compiled artifacts, signed licenses,
private images, support materials, and commercial deployment artifacts are
licensed under this Enterprise agreement and the Order.

## 4. Commercial Boundaries

Enterprise rights are set by the Order. Unless the Order states otherwise, a
separate written agreement with Tessallite is required to:

- sublicense, sell, rent, lease, transfer, or distribute Proprietary Components
  to a third party;
- provide Tessallite as a hosted, managed, bureau, resale, OEM, white-label, or
  service-provider offering to third parties;
- use Tessallite outside the licensed entities, environments, or entitlements in
  the Order;
- use Tessallite marks except as separately authorized.

Customer agrees to keep copyright, trademark, proprietary, and license notices
in place; use signed-license and entitlement controls as provided; and not
reverse engineer, decompile, disassemble, or attempt to extract source code from
Proprietary Components except to the extent mandatory law permits it.

## 5. License Manager And Entitlements

Enterprise entitlements are expressed in a signed local license and/or written
Order. The license manager may verify these entitlements locally and offline.

If there is a conflict between the signed local license and the Order, the Order
controls commercially. Tessallite may issue an updated signed license when
required to implement the Order in the installed product.

Enterprise licenses may remove or change Community limits, or set higher limits
for users, tenants, projects, models, environments, support, or deployment
rights, as stated in the applicable Order.

## 6. Support And Services

Support, onboarding, SLAs, implementation assistance, managed evaluation
services, security questionnaires, and custom deployment support are included
only if stated in the Order or a separate support agreement.

Absent a written support agreement, Tessallite has no obligation to provide
support, updates, upgrades, bug fixes, or service-level commitments.

## 7. Fees And Payment

Fees, taxes, payment timing, renewal terms, and late-payment consequences are
set out in the Order. Non-payment is a material breach.

## 8. Confidentiality

Proprietary Components, private release materials, non-public documentation,
non-public security evidence, pricing, roadmap information, and support
communications may be confidential information. Each party must protect the
other party's confidential information using reasonable care and at least the
care it uses for its own similar confidential information.

## 9. Data And Deployment Responsibility

Unless the Order states otherwise, Customer is responsible for:

- operating its infrastructure;
- securing credentials and configuration;
- backing up data;
- applying updates;
- managing users and access;
- complying with laws that apply to Customer's data and use.

Tessallite does not receive Customer data in self-hosted deployments unless
Customer separately provides it for support or managed services.

## 10. Intellectual Property

Tessallite and its licensors retain all rights not expressly granted. Enterprise
Edition and Proprietary Components are licensed, not sold.

Customer retains rights to Customer data, Customer configurations, and Customer
models, subject to Tessallite's rights in the underlying software.

## 11. Warranty Disclaimer

Except for any express warranty in the Order, Tessallite is provided without a
commercial warranty to the maximum extent permitted by law.

## 12. Limitation Of Liability

To the maximum extent permitted by law, neither party is liable for indirect,
special, incidental, consequential, exemplary, or punitive damages, or for loss
of profits, revenue, goodwill, or data.

Unless the Order states otherwise, Tessallite's aggregate liability under this
agreement is limited to the fees actually paid by Customer for Tessallite during
the twelve months before the event giving rise to the claim.

## 13. Term And Termination

The term is stated in the Order. Tessallite may terminate for material breach if
Customer fails to cure within 30 days after written notice.

On termination, Customer must stop using Proprietary Components and destroy
copies of Proprietary Components, except as required by law or agreed for
transition assistance.

Community Source rights continue only as permitted by the root source-available
`LICENSE`, unless separately terminated under that license.

## 14. Governing Law And Jurisdiction

These terms are governed by the laws of England and Wales. The courts of England
and Wales have exclusive jurisdiction, unless a signed Order or separate written
agreement states otherwise.

## 15. Entire Agreement

This agreement, the Order, and any referenced support or services terms form the
entire agreement for Enterprise Edition and supersede prior discussions about
Enterprise Edition.
